During the July 2001 FA Convention in Houston Texas, it was agreed, after a presentation by the then FA Vice President Dibussi Tande, that Fako America be incorporated in the State of Illinois as a not-for-profit organization. The VP was also commissioned to present draft bylaws at the 2002 convention. In April 2002, FA was duly incorporated in Illinois and draft bylaws presented to the General Assembly during the July 2002 convention in Atlanta, Georgia.
During that convention, a Constitutional Review Committee was set up to review the submitted draft bylaws and to make amendments in conformity with (1) the general goals of FA and (2) State and Federal laws governing not-for-profit organizations.
After an exhaustive 12-month review process, the Committee presented the draft bylaws to the FA General Assembly during the July 2003 Chicago Convention. At that convention, it was agreed that the review /adoption of the bylaws be postponed to the July 2004 convention. The argument put forth was that the time was not right to adopt the new bylaws because members had not had enough time to review the said document. The bylaws review process was accordingly shelved until the 2004 Dallas convention.
The bylaws are being made public before the convention so that members would have adequate time to read, review, and comment on the said bylaws before the convention.
